2.1 Limitation of Liability (§4.2)

The liability cap at 1× contract value is insufficient for IP-related claims. Recommendation: Negotiate to 3× or uncapped for IP infringement.

2.2 Indemnification (§9.3)

Indemnity obligations are unilateral. Counter-party should provide mutual indemnification for third-party claims.

2.3 Termination (§7.1)

30-day notice period is inadequate for service transition. Recommend 90-day notice with transition assistance.

3. Compliance Assessment
