Terms of Service

By accessing, purchasing, or using Juricloud's software-as-a-service platform, business consulting, onboarding, implementation, or related professional services (collectively, the "Services"), you acknowledge and agree to these Terms of Service ("Terms"). "Customer," "you," or "your" refers to the entity or individual that accepts these Terms. "Juricloud," "we," or "us" refers to Juricloud Private Limited.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind such entity. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Services.

Juricloud provides a unified platform for legal operations, including SaaS subscriptions (workspace, case management, AI-enabled analytics, automation modules) and business services (onboarding, workflow design, training, consulting, managed legal operations, and bespoke integrations).

SaaS functionality is delivered remotely via secure cloud infrastructure. Business services may involve remote or onsite support and are governed by these Terms together with any mutually executed statements of work ("SOW") or order forms ("Order"). In the event of a conflict, the Order or SOW prevails over these Terms solely with respect to the conflicting provision.

You must be at least 18 years old and legally able to enter into contracts to use the Services. You agree to provide accurate, current, and complete information when creating an account and to keep it current. You are responsible for safeguarding credentials, preventing unauthorized access, and promptly notifying Juricloud of any breach, compromise, or misuse. Juricloud reserves the right to suspend or terminate accounts suspected of fraudulent activity, non-compliance, or security risk.

Business services are delivered according to a mutually executed Order or SOW describing scope, deliverables, timelines, fees, and assumptions. Unless otherwise stated in an Order, all deliverables are deemed accepted five business days after delivery if no written rejection identifying material non-conformity is received. Changes to scope, timeline, or resource allocation require a written change order and may impact fees.

Subscription plans renew automatically at the end of each term unless cancelled in accordance with these Terms. You authorize Juricloud to charge the payment method on file for all applicable fees, taxes, and charges. Unless expressly stated, fees exclude taxes, levies, duties, or similar governmental assessments. You are responsible for all such taxes associated with your purchases, excluding taxes based on Juricloud's net income.

Refunds are governed by our Refund Policy. Non-payment or delayed payment may result in suspension or termination of access and the accrual of late fees at the maximum rate permitted by law.

Juricloud strives to maintain 99.5% uptime for production SaaS services, excluding scheduled maintenance, force majeure, or factors outside our reasonable control. Support is provided through in-platform tickets, email, or dedicated channels aligned with the Customer's subscription tier. Enhanced service levels, dedicated success managers, or on-call coverage may be available through upgraded plans or bespoke agreements.

Customer Data remains your property. Juricloud is granted a limited license to process Customer Data solely to deliver the Services and fulfill obligations under these Terms. We maintain administrative, physical, and technical safeguards consistent with industry standards. Detailed privacy practices are described in our Privacy Policy.

You are responsible for obtaining all necessary consents and authorizations to provide Customer Data, including personal information, to Juricloud. If you require data processing addenda or regional compliance clauses (e.g., GDPR, HIPAA, PDPB), they must be requested and executed in writing.

You shall ensure that all users comply with these Terms, maintain secure networks, and provide accurate information necessary for delivery of the Services. You will cooperate in good faith, assign internal point(s) of contact, and provide timely approvals. Delays or failures attributable to you or your vendors do not constitute breach by Juricloud.

You agree not to (a) copy, modify, or create derivative works of the Services; (b) reverse engineer, decompile, or disassemble platform components; (c) use the Services for unlawful processing, harassment, or competitive analysis; (d) introduce malware, scripts, or code intended to impair functionality; (e) rent, lease, sublicense, or resell access; or (f) conduct load or penetration testing without prior written consent.

Juricloud's AI-driven workflows, analytics, and generative outputs are intended to augment professional judgment and do not constitute legal or business advice. You remain responsible for validating outputs before relying on them. Usage of AI credits, rate limits, or fair use policies may apply per plan. Juricloud may improve models using de-identified, aggregated usage data.

Juricloud and its licensors retain all rights, title, and interest in and to the Services, software, documentation, logos, and underlying technology. No rights are granted except as expressly set forth in these Terms. Feedback, suggestions, or ideas provided by you may be used by Juricloud without restriction, and you hereby grant us an irrevocable, perpetual, royalty-free license to use such feedback.

The Services may interoperate with third-party applications, marketplaces, or data providers. Your use of third-party services is subject to their separate terms. Juricloud is not responsible for third-party actions, availability, or data handling. We may modify or discontinue integrations without liability where a third-party materially changes or ceases its offering.

Each party agrees to protect the other party's Confidential Information with at least the same degree of care used to protect its own confidential information, but no less than reasonable care. Confidential Information includes non-public business, technical, financial, operational, or strategic information disclosed in connection with the Services. Confidentiality obligations survive termination for five years, except for trade secrets and personal data which remain protected indefinitely.

You represent and warrant that you will comply with all applicable laws, regulations, and professional obligations, including anti-corruption, anti-money laundering, export control, and sanctions regimes. You will not export or re-export the Services in violation of applicable export control laws or use the Services in jurisdictions where such use is prohibited.

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, OR NON-INFRINGEMENT. JURICLOUD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS.

You agree to defend, indemnify, and hold harmless Juricloud, its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms, (b) Customer Data or content submitted through the Services, (c) your use of the Services in violation of applicable law, or (d) disputes between you and your clients, partners, or third parties.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JURICLOUD'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL JURICLOUD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, OR LOSS OF DATA.

These Terms commence when you first access the Services and continue until terminated. Either party may terminate for material breach not cured within thirty (30) days after written notice. Juricloud may suspend access immediately for security risks, non-payment, or violations of law. Upon termination, you remain liable for all accrued fees, and you must cease using the Services. Data export assistance is available for up to thirty (30) days post-termination, subject to applicable fees.

Juricloud may update these Terms to reflect changes in Services, law, or business practices. Material changes will be communicated via the platform, email, or other reasonable means. Updates become effective on the date indicated. Continued use after the effective date constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Republic of India, without regard to conflicts of law principles. The parties agree to attempt in good faith to resolve any dispute through negotiation within thirty (30) days. If unresolved, disputes shall be subject to binding arbitration in Bengaluru, India, administered under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed mutually. Judgment on the award may be entered in any court of competent jurisdiction.
